1st article : is founded between members with the present statutes, an association by the law of July 1st 1901 and the decree of august 16th 1901, with the name : Europe Métropoles

Article 2 : Europe Métropoles assembles local councillors and local government officers from the larger cities of the 27 European member states, sharing the same values, as political and economic freedom, responsibility, social justice or solidarity and has for objective to enhance the place and action of local territories in the construction and the harmonious development of the European Union with it’s 27 members, and wants to promote the European ideal in all citizen’s minds.

Article 3 : the main office is located in Paris. It can be transferred by simple decision from the administrative council.

Article 4 : the association is composed of :

1. founding members having participated in the creation of the association ;

2. members of honour having served the association in a significant way

3. members which are considered benefactors, physical or moral persons, by public or civil law, who have paid an entrance fee or annual contribution, whose amount is fixed each year by the General Assembly.

4. active members, who favour the development of actions undertaken by the association, and who have paid an annual contribution, whose amount is fixed annually by the General Assembly.

Article 5 : to take part in the association, each member shall be accepted by the office who gives it’s verdict unanimously, at each of it’s meetings and on each membership demand expressed.

Article 6 : the position of a member is lost when :

1. dismissal

2. death

3. if pronounced by the office, and only the office, for a lack of payment of the contribution or other serious motive, the defendant having been previously invited by registered mail to present himself at the office for explanation.

Article 7 : the funds of the association include :

1. the amount of entree fees and annual contributions

2. donations

3. perceived sums for services rendered by the association (formation, seminars, study travels...)

4. subsidies coming from public communities in France and European member states, regional communities, public administrations or European institutions.

5. sums perceived under patronage from public and private companies as well as associations and French and foreign foundations.

Article 8 : The association is directed by an administrative council, composed of a maximum of 30 members, elected for three years by the general assembly. The members of the council can be re-elected. The administrative council chooses among it’s members, an office composed of :

1. a president

2. one to two vice-presidents

3. a secretary-general treasurer

The office determines the daily schedule. The president represents the association in law and concerning all acts of civil life. The decisions of the office have to be taken at absolute majority. In case of vacation, the administrative council decides of the provisory replacement of the members concerned by vacation. The administrative council proceeds at their definitive replacement at the closest general assembly. The mandate of the newly elected members expires at the date when the mandate of the replaced members was supposed to expire.

Article 9 : the administrative council meets at least once every six months, on convocation of the president or on demand of at least one fourth of members. Decisions are taken at a majority of votes, in case of equality of votes, the vote of the president is preponderant. Every member of the council, who without any excuse has not participated in three consecutive meetings, could be considered dismissed. No person who has not yet reached majority can be part of the council.

Article 10 : The ordinary general assembly comprises all members of the association without regards to their affiliation. The ordinary assembly meets each year in September. Fifteen days previous to the fixed date, the members of the association are notified by the secretary general. The daily schedule is indicated on the convocation. The president assists the members of the administrative council, presides the assembly and presents the moral situation of the association. The treasurer gives an account of the financial situation and presents the appraisal to approbation by the assembly. Only the questions appearing on the schedule of the day can be treated during the general assembly.

Article 11 : if necessary, or if demanded by half plus one of assigned members, the president can convoke an extraordinary assembly following the formal rules fixed in article 10.

Article 12 : A scientific council is constituted. It is composed of experts and other qualified persons, agreed on by the office, on proposal of the administrative council. The mission of the scientific council is to control the quality of the association’s work and missions. The scientific council can appoint a president and a vice-president from it’s members who coordinate it’s work.

Article 13 : A sponsorship committee is constituted. It is composed of eminent personalities and moral persons who take a particularly important part in the work of the association or it’s development.

Article 14 : An interior settlement can be established by the administrative council who presents it for approval to the general assembly. The eventual settlement is destined to fix the various points not provided for by the statute, in particular those concerning the interior administration of the association.

Article 15 : in case of dissolution pronounced by at least two thirds of members present at the general assembly, one or several arrangers are named by the general assembly and the assets, if necessary, are dissolved in conformity with article 9 of the July 1st 1901 law and the 16th of August 1901 decree.
